Samui Airport Property Fund (Leasehold)
Project Type Closed-end property fund for which the Management Company will file an application with the Stock Exchange of Thailand for its approval of the Investment Units as listed securities within 60 days from the date of registering the Fund.
Details of Initial Investment Policy In the initial investment, the Fund will invest in the long-term leasehold rights in the Leased Assets, which include the Leased Land, Runway, Parking Apron and Construction on the Leased Land, which are currently being used as Samui Airport, by entering into the Long Term Lease Agreement and Undertaking Agreement. Simultaneously, the Fund intends to seek benefits from such investment by entering into the Samui Airport Agreements, which comprise the Sub-Lease Agreement for the sublease of the Leased Assets for a term of 3 years (with an option to renew for 9 terms, 3 years each) and the Utilities System Service Agreement for a term of 30 years.

Dividend Payment Policy Dividend Payment Policy

The Project has a policy to pay dividends to unitholders not more than four times a year.

(1) In case that the Fund has net profits in any accounting period, the Management Company shall pay dividends to unitholders not less than ninety percent of the annual net profits, exclusive of profit which has not yet incurred from the appraisal or the review of immovable properties appraisal or leasehold right of immovable properties appraisal of such accounting period

(2) In case that the Fund has retained earnings in any accounting year, the Management Company may pay dividends to unitholders from such retained earnings. In this regard, the aforementioned net profit and retained earnings is exclusive of the item of expense reserved or the investment in the amount as deemed appropriate for the property of the Fund
  1. The payment of dividend under (1) must not result in more Fund's accumualated deficit in the accounting period where there is the dividend payment.

  2. With regard to the dividend payment under (1) and (2), the Management Company shall maket payment within 90 days as from the accounting period where there is the dividend payment but it must not exceed 30 days from the day following the date of closure of the register of unitholders for dividend payment, except where there is a necessary cause which prevents the dividend payment during such period the Management Company shall give a written notification thereof to the unitholders.

Details of the Leased Assets to be leased by the Fund

The Fund will invest in the long-term leasehold rights in the Leased Assets, which are the Leased Land, Runway, Parking Apron and Construction on the Leased Land and currently being used as Samui Airport by entering into the Long Term Lease Agreement for a period of 30 years.

(a) The Leased Land
The Leased Land, located in Tambon Bor Phud, Amphoe Koh Samui, Surat Thani Province, has a total area of approximately 449-3-83.8 rai 179,983.8 square wah or 719,935.2 square meters) and comprise the land under 29 Title Deeds and 19 Nor.Sor. 3 Gor.

(b) Runway
A 45 x 2,060 meter runway with a 100 meter overrun on both sides, with crushed rock filling and asphalt surfacing. Currently, Samui Airport accommodates ATR 72-500 and Boeing 717-200,

(c) Parking Apron
Two 125 x 150 meter permanent parking aprons that can accommodate 4 ATR 72-500 aircrafts and 4 Boeing 717-200 aircrafts.

(d) Current Passenger Terminals
The Current Passenger Terminals and supporting buildings with a total area of approximately 1,939 square meters, comprises domestic passenger terminals, an international passenger terminal and supporting buildings . Domestic and international passenger buildings and the retail outlets are mostly made from hard-wood structure, palm-thatched roof and finished reinforced concrete floor which preserve the natural atmosphere of Samui Island.

(e) New Passenger Terminals
New Passenger Terminals and supporting buildings with a total area of approximately 7,905 square meters, are currently under construction south of the Current Passenger Terminals. The New Passenger Terminals will mainly comprise the following terminals and buildings: Domestic passenger check-in building ,International passenger check-in building, Domestic departure building, International departure building, International arrival building, Domestic arrival building, Arrival passenger lounge and meeting point, Retail outlets, Security checking building .The New Passenger Terminals are expected to be partially ready for use in March 2007.
